GmbH, UG – or another company type?
The GmbH and UG are the most common choices for new founders, and an Olea address works identically for either:
- GmbH – the standard German limited company. Requires €25,000 share capital (at least €12,500 paid in to register). The credible default for established businesses and most founders raising investment.
- UG (haftungsbeschränkt) – the "mini-GmbH", formable from €1 of share capital, with a duty to build reserves toward GmbH-level capital over time. Popular with solo founders and early-stage businesses keeping formation costs low.
- Other company types – while GmbH and UG are the most common choices for new founders, an Olea address also works for an AG, KG, OHG, GmbH & Co. KG and other entities entered in the Handelsregister.
The formation steps, the address requirement and the documentation are the same for all of them.
Your business address and the Handelsregister
Your Olea business address is the address you register your company at – it appears on your Handelsregister entry and your Impressum, and it's where courts and authorities can reliably reach the company. It must be a real, domestic serviceable address (ladungsfähige Anschrift), which every Olea location provides.
For tax, the Finanzamt separately assesses your place of management (Ort der Geschäftsleitung) and any permanent establishment (Betriebsstätte) based on where you actually run your business – a business address is not automatically either. If your situation isn't clear-cut, check with your tax adviser.
Your path from address to registered company
- Choose your address & location (≈5 minutes) – pick the city and location that will become your company's business address.
- Checkout & pre-formation compliance (≈10–15 minutes) – complete our initial compliance check, a legal requirement under the German Anti-Money Laundering Act (GwG) for every business address, which covers your ID, your planned company structure and your beneficial owners (UBO).
- Get your consent-to-use letter – once you pass pre-formation compliance, generate your Nutzungsüberlassungserklärung (your consent-to-use letter) from the Customer Portal and pass it to your notary.
- Notarisation & Handelsregister filing (timing varies) – your notary drafts and notarises the Satzung and submits the Handelsregister application using your address documentation.
- Your company is registered (typically 2–4 weeks of Handelsregister processing) – once your Handelsregister entry is published, your GmbH or UG is officially formed.
- Activate your account & mail – submit your Handelsregister extract, transparency-register entry and company details to complete compliance and fully activate your account. Your address then goes live on Olea and your digital mailbox is ready to receive your post. Registering with the Finanzamt and Gewerbeamt and publishing your Impressum are separate steps you handle yourself once your company is filed.
After registration
The same address carries you straight into operating: register with the Finanzamt for your Steuernummer (and VAT ID where relevant), file your Gewerbeanmeldung with the local Gewerbeamt where your trade requires it, publish a compliant Impressum, and use it to open business bank and payment accounts. Official post is received at your location and made available in your digital mailbox, forwarded, or held for collection.

Your notary needs your Nutzungsüberlassungserklärung – the consent-to-use letter confirming your right to use the address. Once your account is activated, you can generate it from the Customer Portal and pass it to your notary, who includes the address in your Satzung and the Handelsregister filing.
Yes. The same address requirements apply to UG (haftungsbeschränkt) formation, and all documentation and processes are identical to a GmbH. The only differences between the two are share capital and reserve rules – not the address.
Yes. Your address is suitable for tax registration with the Finanzamt and for your Gewerbeanmeldung at the local Gewerbeamt (acceptance varies by municipality but works in most cases), as well as for your Impressum. Whether the address also qualifies as your place of management or permanent establishment for tax depends on your circumstances and is decided by the Finanzamt – if in doubt, check with your tax adviser.
No. You can complete the entire address setup remotely – choose your location, check out, and submit KYC online, and we deliver all documents digitally. You'll still need to attend a notary appointment for the formation itself (required for GmbH/UG), but the address setup is fully remote.

Yes – and many of our customers do exactly that. The process mirrors a new formation: pick your Olea location, complete our compliance check, and generate your Nutzungsüberlassungserklärung from the Customer Portal for your notary, who files the change with the Handelsregister. Cost and timing depend on whether you stay in the same city. If your registered seat stays in the same municipality it's a simple address change – notary fees of roughly €75–100 plus a small registry fee, usually registered within 1–2 weeks. Moving your seat to a different city is a Sitzverlegung, which needs a shareholders' resolution and an amendment to your articles, so notary and registry costs run to around €400–500 and it can take several weeks. These are third-party notary and Handelsregister fees, not Olea charges – your notary can confirm the exact amounts.
Compliance happens in two stages. First you complete our pre-formation check – your ID, planned company structure and beneficial owners; once you pass, we release your Nutzungsüberlassungserklärung so your notary can form the company. After your company is registered, you submit your Handelsregister extract and transparency-register entry to fully activate your account. We only start accepting mail addressed to you once that full activation is complete – so for a company you're still forming, your mail begins once the company is set up and your account is active.
Once your account is active, incoming mail is received at your location and made available in your digital mailbox (scanned, typically within 5–7 days), forwarded by post (from €10/month + postage), or held for in-person collection. Options vary by location.
