Forming a GmbH or UG with a virtual office

Understand what the address does, how the document and filing stages fit together, and what must happen before your company’s mail service becomes fully active.

What is the inländische Geschäftsanschrift?

A GmbH or UG must state a domestic German business address in its Handelsregister application. The address is where the company can be reached for official correspondence and service. It must be a street address rather than a post-office box. An Olea location can be used as this inländische Geschäftsanschrift because it provides a real German office address and the operating arrangements needed to receive correspondence there.

The registered business address is not the same thing as every other legal or tax concept connected with a company. A company can have a German registered address while its actual management takes place elsewhere. The Finanzamt assesses Ort der Geschäftsleitung and Betriebsstätte from where management and business activity genuinely occur, not from the address label alone.

GmbH, UG and other legal forms

  • GmbH – the standard German limited-liability company. Formation and capital requirements are handled with the notary and relevant professional advisers.
  • UG (haftungsbeschränkt) – a limited-liability form with different capital and reserve rules. The same requirement to provide an inländische Geschäftsanschrift applies.
  • Other registered entities – an Olea business address may also support other entities entered in the Handelsregister, but this page is written specifically for the GmbH/UG formation journey.

What the notary and Handelsregister do

The notary advises on and notarises the formation documents and submits the Handelsregister application. The Handelsregister examines the filing and can ask for further information before recording the company. Olea supplies the selected address and its approved supporting evidence; Olea does not replace either role and cannot guarantee a filing outcome or processing time.

Address document and two-stage verification

A company in formation creates a sequencing issue: the founder needs address evidence before the company exists, while Olea needs final company documents before fully activating the registered entity. Olea’s setup therefore runs in two review stages:

  1. 1A pre-formation review of the founder and planned company before the address document is released under the approved workflow.
  2. 2A post-formation review of the registered company, its directors and beneficial owners before your selected ongoing mail service is fully activated.

The address is not dormant between the two. Once Olea approves your pre-formation setup, eligible correspondence can be received in the approved name of the company in formation – which is what makes the sequence work, because the registration confirmation your company needs for the second review is itself delivered by post. Your selected ongoing mail service becomes fully active once the company is registered, you provide the final company documents and Olea confirms completion of setup.

After registration

Once the company is registered and Olea confirms your setup is complete, its post is handled through your selected mail option rather than held for the formation. The address can also remain on the company’s Handelsregister record and can be used for the Impressum and official correspondence. Gewerbeanmeldung, tax registration, business-account onboarding and marketplace verification are separate processes controlled by the relevant authority or provider.

For the Finanzamt, describe the address as the company’s registered correspondence address or Geschäftsanschrift. The address alone does not create a German Betriebsstätte, place of management or tax residence.

Moving an existing company later

An existing GmbH or UG can change its registered business address to an Olea location. The company should obtain the new address documentation first and then follow the notary and Handelsregister process applicable to the change. A move within the same municipality and a statutory-seat move to another municipality can involve different corporate and filing steps. Your notary can confirm which applies and what it costs.
