Choosing your legal form: GmbH or UG?
Most German startups incorporate as a GmbH or UG (haftungsbeschränkt):
- GmbH – the credible default for startups raising investment, and the structure most VCs and angels expect to see on a cap table. It requires €25,000 share capital (at least €12,500 paid in to register).
- UG (haftungsbeschränkt) – the "mini-GmbH", formable from €1 of share capital, with a duty to build reserves toward GmbH-level capital over time. Popular with very early-stage founders keeping formation costs low, and convertible to a full GmbH later.
