# Can I register a company in Germany without renting an office?

> **Yes – you can register a company in Germany without renting an office, whatever legal form you choose.** A GmbH or UG needs a German street address where documents can be served (the _inländische Geschäftsanschrift_), and a staffed virtual office meets that test. A _Gewerbe_ is registered at its _Betriebsstätte_ – where you actually run the business, which for a desk-based business run from home is your home. Any legal form that also runs a trade – a GmbH or UG too, once it starts operating – files a _Gewerbeanmeldung_ on top of its register entry. Only Freiberufler are outside that duty.

## Why register without an office?

For many founders, an office is a cost and a commitment the business doesn’t need yet – and the law doesn’t ask for one.

- **Cost and commitment.** A commercial lease ties you to rent, a deposit and a fixed term before the business has earned anything. A virtual office costs less, and Olea’s has no setup fee, deposit or minimum term.
- **An address that stays put.** Your business address goes on your _Handelsregister_ entry, your _Impressum_, invoices, bank and tax records. Change it and every one of them has to be updated – for a GmbH, the new _Geschäftsanschrift_ is filed with the register through a notary. - **Privacy.** Register at home and your home address goes on the _Handelsregister_ (for a company) and your _Impressum_.

## GmbH and UG: address requirements and virtual offices

### What address does a GmbH or UG need?

Two things, and neither is an office. A UG (haftungsbeschränkt) is simply a GmbH founded with less than the minimum capital ([§ 5a GmbHG](https://www.gesetze-im-internet.de/gmbhg/__5a.html)), so everything here applies to it too.

**The _Sitz_ – a German town.** Your articles of association must name a place in Germany as the company’s seat ([§ 4a GmbHG](https://www.gesetze-im-internet.de/gmbhg/__4a.html)). It’s a municipality, such as Berlin or Munich, not a street address, and it decides which _Registergericht_ (register court) keeps your file. You choose it – usually the town where your business address is. Moving it to another town later means amending your articles through a notary ([§ 53 GmbHG](https://www.gesetze-im-internet.de/gmbhg/__53.html)), so it’s worth choosing an address you can keep.

**The _inländische Geschäftsanschrift_ – a German street address.** Your application to the _Handelsregister_ must give a domestic business address ([§ 8 Abs. 4 Nr. 1 GmbHG](https://www.gesetze-im-internet.de/gmbhg/__8.html)), and the court enters it in the register ([§ 10 Abs. 1 GmbHG](https://www.gesetze-im-internet.de/gmbhg/__10.html)). The point is that the company can be reached: letters and court documents can be served on the managing directors there ([§ 35 Abs. 2 S. 3 GmbHG](https://www.gesetze-im-internet.de/gmbhg/__35.html)). So it has to be a _ladungsfähige Anschrift_ – a serviceable address. A _Postfach_ fails, and so does a forwarding arrangement with no one there. ### Can a virtual office be the address for a GmbH or UG?

Yes, if it’s staffed – a staffed virtual office is a serviceable street address, which is what the register asks for. The choice matters because the _Geschäftsanschrift_ is public: anyone can look it up in the _Handelsregister_ for free. ### What do the notary and the court check?

The notary files your application electronically and needs the address for it. They’ll usually ask you to show you’re allowed to use it – that’s what the provider’s written confirmation (_Nutzungsüberlassungserklärung_) is for. The court checks that it’s a domestic street address. The documents the law requires with the application are the articles, the managing directors’ appointment and the shareholder list ([§ 8 Abs. 1 GmbHG](https://www.gesetze-im-internet.de/gmbhg/__8.html)) – no lease.

### What doesn’t the register address decide?

It doesn’t make the address your place of management or a tax _Betriebsstätte_. The _Finanzamt_ decides those from where you actually work and take decisions ([§§ 10, 12 AO](https://www.gesetze-im-internet.de/ao_1977/__12.html)). And it doesn’t replace the _Gewerbeanmeldung_: once the GmbH starts trading, it registers its trade like any other business.

### What about an e.K., OHG or KG?

The same logic applies to registered sole traders and partnerships. A _Kaufmann_ registers the place and domestic _Geschäftsanschrift_ of the _Handelsniederlassung_ ([§ 29 HGB](https://www.gesetze-im-internet.de/hgb/__29.html)). An OHG registers its _Sitz_ and a _Geschäftsanschrift_, which can be anywhere in the EU ([§ 106 Abs. 2 Nr. 1 HGB](https://www.gesetze-im-internet.de/hgb/__106.html)); a KG does the same and adds its limited partners ([§ 162 HGB](https://www.gesetze-im-internet.de/hgb/__162.html)). None of them needs office space.

## Gewerbe: address requirements and virtual offices

### Do you need an office to register a Gewerbe?

No. The _Gewerbeanmeldung_ is a notification, not a permit: anyone starting a standing trade tells the competent authority when they start ([§ 14 Abs. 1 GewO](https://www.gesetze-im-internet.de/gewo/__14.html)). That’s the _Gewerbeamt_ of the municipality where the business has its _Betriebsstätte_ – in Berlin the district _Ordnungsamt_, in Munich the _Kreisverwaltungsreferat_.

### Which address goes on the Gewerbeanmeldung?

Your _Betriebsstätte_ – the fixed place from which the trade is actually carried on ([§ 4 Abs. 3 GewO](https://www.gesetze-im-internet.de/gewo/__4.html)). “Actually” is the key word: give the address that reflects how your business operates. If you run an online shop or a consultancy from home, that’s your home. A workshop, kitchen, salon or shop is a _Betriebsstätte_ wherever your post goes, and it’s registered as one.

### Where does a virtual office fit for a sole trader?

As your professional address. Your _Impressum_, invoices, contracts, letterhead and _Finanzamt_ post can all carry a business address that isn’t where you work – and that’s how a virtual office keeps your home address off them. Bear in mind that the name, business address and activity on your _Gewerbeanmeldung_ may be made public ([§ 14 Abs. 5 GewO](https://www.gesetze-im-internet.de/gewo/__14.html)).

### What does the Gewerbeamt ask for?

An identity document and, for a company, the register extract; permits and a residence title only where your trade or status needs them. That’s Munich’s list ([Landeshauptstadt München, Gewerbe-Anmeldung](https://stadt.muenchen.de/service/info/gewerbeamt/10164604/)), and Berlin’s is the same in substance ([IHK Berlin, Gewerbeanzeige](https://www.ihk.de/berlin/service-und-beratung/recht-und-steuern/gewerberecht/gewerbeanzeige-klapp-4321502)). Neither asks for a lease.

## Freiberufler: Finanzamt registration and your address

### Do Freiberufler need a Gewerbeanmeldung?

No – and this is the answer most often got wrong. The liberal professions – doctors, lawyers, tax advisers, engineers, architects, journalists, translators, artists, writers, teachers and “similar professions” – earn income from self-employed work, not from a trade ([§ 18 Abs. 1 Nr. 1 EStG](https://www.gesetze-im-internet.de/estg/__18.html)). An activity is only a _Gewerbebetrieb_ if it isn’t a liberal profession ([§ 15 Abs. 2 EStG](https://www.gesetze-im-internet.de/estg/__15.html)). So: no _Gewerbeamt_, no _Gewerbeschein_ and no _Gewerbesteuer_.

### How do you register instead?

You tell the _Finanzamt_ you’ve started ([§ 138 Abs. 1 S. 3 AO](https://www.gesetze-im-internet.de/ao_1977/__138.html)) by completing the _Fragebogen zur steuerlichen Erfassung_ in ELSTER within one month. The _Finanzamt_ then issues your tax number ([BMWK Existenzgründungsportal, Freie Berufe](https://www.existenzgruendungsportal.de/gruenden-kurz-und-knapp/freie-berufe)). Chamber professions – doctors, lawyers, tax advisers, architects – also register with their _Kammer_, and a _Partnerschaftsgesellschaft_ goes in the _Partnerschaftsregister_.

### Which address goes on the tax questionnaire?

Two: where the _Finanzamt_ can write to you – your _Geschäftsanschrift_, which can be a virtual office – and where you actually work, because that decides which _Finanzamt_ is responsible and where you’re taxed ([§§ 10, 12 AO](https://www.gesetze-im-internet.de/ao_1977/__12.html)). A translator who works from her flat and receives her post at a virtual office in the same city gives both. The same business address can go on her website, invoices and contracts, so her home address stays private.

### What if you’re not sure you’re a Freiberufler?

Plenty of founders sit near the line – a designer who also sells prints, a consultant who also brokers contracts. When in doubt, the _Finanzamt_ (and sometimes the _Gewerbeamt_) decides whether your activity is freiberuflich or gewerblich when you register ([BMWK Existenzgründungsportal](https://www.existenzgruendungsportal.de/gruenden-kurz-und-knapp/freie-berufe)). Describe what you do precisely and let them classify it. Registering a Gewerbe “to be safe” creates trade-tax and IHK obligations you may not owe.

## Sitz, Geschäftsanschrift and Betriebsstätte explained

These three terms are easy to mix up, and each means something different:

- **_Sitz_** – the municipality named in a GmbH’s articles. A town, not a street.
- **_Geschäftsanschrift_** – the street address in the _Handelsregister_ where the company can be served, and the correspondence address the _Finanzamt_ writes to.
- **_Betriebsstätte_** – the fixed place the business is actually run from. For trade law, it’s where the trade is really carried on; for tax law, any fixed place serving the business, starting with where it’s managed.

## Checklist: what each authority needs

**For the notary (GmbH, UG, e.K., OHG, KG)**
- The _Sitz_ (the town) and the full street address for the _Geschäftsanschrift_
- The provider’s written confirmation that you may use the address (_Nutzungsüberlassungserklärung_), in the company’s or founder’s name
- Your company name on the mailbox at that address, so post and served documents reach you

**For the Gewerbeamt (any trade, including a GmbH or UG once it operates)**
- The address of your _Betriebsstätte_ – where the business is actually run – and a precise description of what you do
- An identity document; for a company, the _Handelsregister_ extract; permits and residence title where required

**For the Finanzamt (everyone – and the only one for Freiberufler)**
- The _Fragebogen zur steuerlichen Erfassung_ in ELSTER, within one month of starting
- Your correspondence address and, separately, where you actually work
